1. Acceptance of Terms

By accessing or using Business Due Dates or this related website, you agree to these Terms of Use and to any applicable terms imposed by Apple for distribution, purchases, subscriptions, or use of the iOS application. If you do not agree, do not use the service.

2. Description of the Service

Business Due Dates is an organizational and reminder tool intended to help users record and review business information, obligations, payments, recurring responsibilities, due dates, reminders, notes, and completion history.

3. Deadlines, reminders, and professional advice

The app does not guarantee that any deadline, filing requirement, payment date, reminder, notification, or other information is complete, accurate, current, or applicable to your particular business. Laws, regulations, filing requirements, fees, and deadlines may change and may vary based on jurisdiction, business structure, industry, and individual circumstances.

You are responsible for verifying all applicable requirements and deadlines with the appropriate government agency, regulatory authority, service provider, accountant, attorney, or other qualified professional.

Reminders and notifications are provided for convenience and should not be relied upon as the sole means of tracking a deadline. Notification delivery may be affected by device settings, operating-system behavior, permissions, network conditions, or other circumstances outside the control of Business Due Dates or Desert Toad Software LLC.

4. Your responsibility for records and data

You are responsible for the information you enter, the accuracy of that information, maintaining appropriate independent records and backups for your business, and protecting access to your device and Apple account.

5. Free and membership functionality

Business Due Dates may offer both free and membership functionality. Free usage limits can restrict creation of additional businesses, obligations, payments, or reminders. If a membership ends while existing data exceeds a free limit, Business Due Dates is designed not to delete or hide that existing data solely because of the limit; applicable limits may restrict creation of additional items. Membership functionality may include additional capacity, restore of archived businesses, manual cloud sync, backup and restore, export, import, and other premium features.

6. iCloud and synchronization

If optional manual iCloud/CloudKit synchronization is available and you choose to use it, you initiate synchronization using the controls provided by the app. Version 1 does not promise continuous or automatic background synchronization. Synchronization depends on Apple's services, your account, network access, device configuration, and app functionality. We do not guarantee uninterrupted synchronization, recovery, or availability of stored data.

9. Backups, restore, export, and import

A backup restore is a replacement operation and may erase the current Business Due Dates dataset on the device before replacing it with the data contained in the selected backup. You are responsible for reviewing the selected backup and warnings presented before confirming restoration.

Import is different from backup restore. Import may add new records and may update existing records when supported matching Business Due Dates identifiers are found. Existing local records that are not represented in an imported file are intended to remain in place. You are responsible for reviewing imported information for accuracy and suitability.

10. Purchases and subscriptions

If optional paid features or subscriptions are offered, purchases are made through Apple's App Store. Billing, renewal, cancellation, refund requests, and purchase management are subject to Apple's applicable terms and account controls. Desert Toad Software LLC does not control Apple's refund decisions.

11. Appropriate use

You may use Business Due Dates for lawful purposes. You may not attempt to disrupt, reverse engineer where prohibited by law, misuse, or interfere with the app, website, or related services.

10. Intellectual property

Business Due Dates, its branding, original software, website content, and related materials are owned by or licensed to Desert Toad Software LLC except where third-party rights are identified. These Terms do not transfer ownership of those materials to you.

11. Third-party services and links

The service may rely on or link to third-party services, including Apple services and government or service-provider websites. Those services are governed by their own terms and practices. A link does not mean Desert Toad Software LLC controls or guarantees third-party information.

12. Changes to the service

Features may be added, changed, limited, or removed over time. We do not promise that every planned feature will be released or remain available indefinitely.

13. Disclaimer of warranties

To the fullest extent permitted by applicable law, Business Due Dates and the related website are provided on an “as is” and “as available” basis without warranties of uninterrupted operation, error-free performance, fitness for a particular business purpose, or accuracy of user-entered or external deadline information.

14. Limitation of liability

To the fullest extent permitted by applicable law, Desert Toad Software LLC is not responsible for missed deadlines, late filings or payments, penalties, fees, interest, loss of licenses or registrations, loss of good standing, business interruption, lost profits, lost data, or other indirect, incidental, special, consequential, or similar losses resulting from reliance on the app, reminders, notifications, stored information, synchronization, or third-party services.

15. Termination

You may stop using the service at any time. We may restrict access when reasonably necessary to protect the service, comply with law, or address misuse, subject to applicable law and Apple platform requirements.

16. Changes to these Terms

We may update these Terms as the app, website, legal requirements, or business practices change. The effective or last-updated date will be revised when the Terms change.

17. Governing law

Except where applicable law requires otherwise, these Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles.

18. Severability

If any provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
